Terms of Service

Version 2026-10-01, effective 1 October 2026

These terms are a contract between MeristemLab (we, us) and the business that registers a lab on MeristemLab (you, your lab). By creating an account, or by using the service on behalf of a lab, you accept these terms. If you are accepting for a company or other organisation, you confirm you are authorised to do so.

1. Definitions

  • Service: the MeristemLab web application at https://meristemlab.com and related support.
  • Lab: the organisation account you create; each user account belongs to exactly one lab.
  • Lab Data: everything your lab enters into the Service, including records about your cultures, customers and staff.
  • Plan: the free Solo plan or a paid plan described on the pricing page.

2. Accounts and eligibility

  • The Service is for business and research use. You must be at least 16 years old.
  • Keep your sign-in details confidential. You are responsible for activity under your account and for the people you invite to your lab.
  • Tell us promptly at hello@meristemlab.com if you believe an account has been compromised.

3. Your data

  • Your lab owns its Lab Data. You grant us a licence to host, process, back up and display it only as needed to provide the Service and support to you.
  • You are responsible for having the right to enter Lab Data, including personal information about your staff and customers, and for telling those people that you hold their details in the Service (see our Privacy Policy).
  • We may access your lab to provide support or investigate a security incident. Every such access is recorded in your lab’s audit log.
  • Lab admins can export the lab’s records at any time from Settings.

4. Acceptable use

You must not use the Service to break the law, infringe anyone’s rights, upload malicious code, attempt to access another lab’s data, probe or overload our systems, or resell the Service without our written agreement.

5. Plans, fees and GST

  • Plan limits and prices are shown on the pricing page. Prices are in Australian dollars and include GST. On request we can invoice in another currency.
  • The Solo plan is free. Paid plans are invoiced in advance, monthly or annually as agreed by email. Invoices are payable within 14 days.
  • Your plan does not renew automatically without notice: we issue an invoice before each new period, and you may decline it and move to the Solo plan.
  • Plan changes are arranged by email and take effect from the next invoice. Moving to a smaller plan may require you to reduce usage to that plan’s limits.
  • We may change prices with at least 30 days’ notice by email; the new price applies from your next billing period.

6. Cancellation and termination

  • You can cancel at any time by email or by deleting your lab in Settings. A paid plan runs to the end of the period already invoiced; we do not refund unused time unless we end the Service without cause or materially reduce it, in which case we refund the unused portion pro rata.
  • We may end this agreement for convenience with 30 days’ notice, or immediately if you materially breach these terms or an invoice remains unpaid 14 days after we remind you.
  • After termination your lab admins can export Lab Data for 30 days. We then delete it as described in the Privacy Policy.

7. Changes to the Service and these terms

We improve the Service continuously and may add, change or remove features. We will give at least 30 days’ notice by email of any change to these terms, or to the Service, that materially reduces what you receive. Continuing to use the Service after the notice period means you accept the change; if you do not, you may cancel under clause 6.

8. Availability and support

We use reasonable efforts to keep the Service available and will notify you in advance of planned maintenance where practical. We do not offer a guaranteed uptime level. Support is provided by email during Australian business hours.

9. Your lab’s results

MeristemLab records and organises information about your lab’s work. It does not control biological outcomes. You remain responsible for your own protocols, decisions and results, including contamination, culture loss and the accuracy of the records your team enters.

10. Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.

Where the Service is not of a kind ordinarily acquired for personal, domestic or household use, and to the extent the law permits, our liability for a failure to comply with a consumer guarantee is limited, at our option, to supplying the Service again or paying the cost of having it supplied again.

11. Liability

  • Nothing in these terms excludes or limits liability that cannot be excluded by law, including for death, personal injury or fraud.
  • Subject to that, and to clause 10, our total liability to you for all claims connected with the Service in any 12-month period is limited to the fees you paid us in that period (or A$100 if you are on the free plan).
  • Neither party is liable to the other for loss of profit, loss of business or indirect loss, except where the law does not allow that exclusion.
  • You indemnify us against third-party claims arising from Lab Data you enter in breach of clause 3 or use of the Service in breach of clause 4.

12. General

  • These terms are governed by the law of Australia, and the courts there have jurisdiction.
  • If part of these terms is unenforceable, the rest still applies. Neither party may assign this agreement without the other’s consent, except that we may assign it to a successor of our business on notice to you.
  • Notices to you are sent to the email address of your lab’s owner. Notices to us go to hello@meristemlab.com.
