Terms of sale

These terms apply to products and services supplied by MeristemLab Diagnostics and MeristemLab Tissue Culture (we, us). The software has its own terms of service.

1. Quotes and orders

1. A quote is valid for the period stated on it.
2. An order is accepted when we confirm it in writing, by email or by invoice.
3. Prices are in Australian dollars and exclude GST unless stated. GST is added where it applies.
4. Freight is quoted separately and shown on the quote.

2. Payment

1. Payment is due as stated on the invoice.
2. Accounts on credit terms are offered at our discretion.

3. Delivery and risk

1. We dispatch to the delivery address in the order. Delivery times are estimates.
2. Risk passes to you on delivery. Ownership passes when we have been paid in full.
3. Temperature-sensitive products are shipped as set out in import and cold chain.
4. Check each delivery when it arrives and tell us promptly if anything is damaged, missing or arrived outside its temperature range.

4. Use of products

1. Diagnostic products are for screening and research use as described in their instructions. Results should be interpreted by a competent person.
2. Use each product as its instructions say, before its expiry date, and store it as directed.
3. Some products carry conditions of use set by their manufacturer. Where they do, we pass them on with the quote.

6. Consumer guarantees

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. See consumer guarantees.

7. Services

Field services, training and tissue-culture work are quoted per engagement. The quote sets out the scope, dates, price and cancellation terms.

8. Privacy

We handle personal information as set out in our privacy policy.

9. Governing law

These terms are governed by the law of Victoria, Australia.
